Terms of Service

1. Acceptance of Terms
By accessing or using the services provided by Optiq Code LLC ("Optiq," "we," "us," or "our"), including our website, CLI tool, API, and related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Description of Services
Optiq provides a context engine for code that indexes codebases and enables retrieval of relevant code via CLI, API, MCP server, and editor integrations. The Services include free and paid tiers with varying levels of access, features, and support.
3. Account Registration
To use certain features of the Services, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and update your account information
- Keep your password secure and confidential
- Accept responsibility for all activity under your account
- Notify us immediately of any unauthorized use of your account
4. Acceptable Use
You agree not to use the Services to:
- Violate any applicable law, regulation, or third-party rights
- Upload or process malicious code, malware, or viruses
- Attempt to gain unauthorized access to our systems or other users' accounts
- Interfere with or disrupt the integrity or performance of the Services
- Reverse-engineer, decompile, or disassemble any part of the Services
- Use the Services to build a competing product or service
- Exceed rate limits or usage quotas without authorization
5. Intellectual Property
Your Code: You retain all ownership rights to your code and data. Optiq does not claim any ownership over code processed through the Services. Your source code is stored encrypted at rest using AES-256. We do not access, read, or claim any rights over it. You may delete your code data at any time from the dashboard; deletion is immediate and permanent.
Our Services: The Services, including all software, algorithms, documentation, and content, are owned by Optiq and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.
6. Payment & Billing
For paid plans:
- Fees are charged in advance on a monthly or annual basis as selected
- All fees are non-refundable except as required by law or as stated in our refund policy
- We may change pricing with 30 days' notice; price changes take effect at your next billing cycle
- Failure to pay may result in suspension or termination of your account
- Usage-based charges, if applicable, are billed in arrears based on actual usage
7. Service Level & Availability
We strive to maintain 99.9% uptime for the Services. Enterprise customers may negotiate custom SLAs. We are not liable for downtime caused by factors outside our reasonable control, including internet outages, third-party service failures, or force majeure events. Planned maintenance will be communicated at least 48 hours in advance.
8. Limitation of Liability
To the maximum extent permitted by law, Optiq shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the Services. Our total aggregate liability shall not exceed the amount you paid to Optiq in the twelve (12) months preceding the claim.
9. Disclaimer of Warranties
The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or completely secure.
10. Termination
Either party may terminate these Terms at any time. You may terminate by deleting your account. We may terminate or suspend your access if you violate these Terms, fail to pay applicable fees, or if we discontinue the Services. Upon termination, your right to use the Services ceases immediately, and any data associated with your account may be deleted after 30 days.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
12. Changes to Terms
We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and, for significant changes, by email. Continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.
